Terms of Service

1. Who we are

This online store at memoried.store (the "Store") is operated by Moments Forever GmbH, Dieselstraße 2, 41469 Neuss, Germany, registered with the commercial register of the Amtsgericht Neuss under HRB 23280, VAT ID DE363890250, represented by its managing directors Moritz Tschischkale and Henrik Hühn ("Memoried", "we", "us"). These Terms of Service ("Terms") apply to all orders placed through the Store and to your use of the Store and the Memoried app (together, the "Services"). By placing an order or using the Services, you agree to these Terms and to our Privacy Policy, Refund Policy and Shipping Policy, which form part of these Terms.

2. Eligibility and age restriction

You may only place an order if you are at least 18 years old (or the age of majority in your place of residence, if higher) and are legally capable of entering into binding contracts. By ordering, you confirm that this is the case and that all information you provide is accurate and complete.

3. Our products

We sell physical products (canvas travel maps, smart pins, souvenir stickers and related accessories) that work together with the free Memoried app. All maps are printed on demand and individually made for each order. Product images are for illustration; colors and finishes may differ slightly from what you see on your screen, and minor variations are a natural part of the production process. We may change our product range and prices at any time; changes do not affect orders that have already been accepted.

4. Ordering and conclusion of contract

The presentation of products in the Store is an invitation to order, not a binding offer. By clicking the final order button at checkout, you submit a binding offer to buy the products in your cart. We will then send you an automatic e-mail confirming that we have received your order; this e-mail does not yet constitute acceptance.

A contract is concluded when we accept your order, which happens when we send you a shipping confirmation or ship the products, whichever comes first. We may decline an order, for example if a product is unavailable, if payment cannot be processed, if we suspect fraud or misuse, or if there is an obvious error in price or description. If we decline all or part of an order, we will notify you by e-mail and refund any payment already made.

Because our maps are produced on demand, your order enters production shortly after it has been placed. You can change your shipping address within 30 minutes after placing your order by contacting us at support@memoried-canvas.com. After that, changes or cancellations may no longer be possible. Please review your order carefully before submitting it. Statutory rights of withdrawal for consumers in the European Union remain unaffected.

5. Prices, taxes and payment

Prices are shown in the currency displayed at checkout. Shipping costs, applicable taxes and, where relevant, import fees are shown at checkout or described in our Shipping Policy. The price valid at the time you place your order applies.

We accept the payment methods shown at checkout. Where we offer installment or "buy now, pay later" options through a third-party provider (such as Affirm), a separate agreement is concluded between you and that provider, and the provider's terms apply to the financing. Payment is due when the order is placed unless the selected payment method provides otherwise. You confirm that you are authorized to use the payment method you select.

Promotions, discount codes and vouchers are subject to the conditions stated with the offer and cannot be combined unless expressly stated.

6. Shipping and delivery

Delivery takes place to the shipping address you provide. Processing and delivery times are described in our Shipping Policy and are estimates. If a delivery is significantly delayed, we will inform you, and you may cancel the affected order if we cannot deliver within a reasonable additional period. Lost or damaged shipments are handled as described in our Shipping Policy.

For consumers, the risk of loss or damage passes to you when you, or a person you designate, take physical possession of the products. For business customers, risk passes when the products are handed to the carrier.

7. Retention of title

Products remain our property until the purchase price has been paid in full.

8. Returns, withdrawal and refunds

Your rights to return products, to withdraw from your order (including the statutory 14-day right of withdrawal for consumers in the European Union) and to receive a refund are set out in our Refund Policy. Orders shipped to the United States are final sale because all maps are made individually on demand; this does not affect your rights for damaged, defective or incorrect items. Nothing in these Terms limits any statutory right you have as a consumer.

9. Warranty and defective products

If a product is defective, damaged on arrival or not what you ordered, please contact us at support@memoried-canvas.com within 14 days of delivery with your order number and photos. We will replace the product or refund you at no cost to you. Consumers in the European Union additionally benefit from the statutory warranty rights under applicable law. Some jurisdictions do not allow limitations on implied warranties; in that case, any such limitations do not apply to you.

10. The Memoried app

The Memoried app is provided free of charge for use with our products. To use it, you need a compatible smartphone and an internet connection. We may update, change or discontinue app features; if we discontinue a feature that is essential to a product you purchased, we will inform you in advance. Your use of the app is also subject to the terms of the app store you download it from and to our Privacy Policy. You are responsible for the content (photos, videos, text) you store in the app and confirm that you have the necessary rights to it.

11. Intellectual property

All content of the Services, including texts, images, videos, designs, map artwork, software, trademarks and logos, is owned by Memoried or its licensors and protected by copyright, trademark and other laws. You may use the Services for personal, non-commercial purposes only. Any other use, including reproduction, modification or distribution of our content, requires our prior written consent.

12. Prohibited use

You may not use the Services for any unlawful purpose, submit false information, place orders for resale without our consent, interfere with the operation of the Store or app, or attempt to gain unauthorized access to our systems or data. We may cancel orders and suspend access to the Services if these Terms are violated.

13. Reviews and feedback

If you submit a review, photo or other feedback, you grant us a non-exclusive, royalty-free, worldwide license to use it in connection with the Services and our marketing. You confirm that your feedback reflects your own honest opinion, that you own the rights to it and that it does not infringe the rights of third parties. Reviews are collected from customers after a verified purchase. We do not change the content of reviews and publish them regardless of rating; we only remove unlawful or abusive content.

14. Force majeure

We are not liable for any failure or delay in performing our obligations caused by events beyond our reasonable control, including natural disasters, fire, flood, epidemics or pandemics, war, terrorism, civil unrest, strikes or labor disputes, failures of carriers, suppliers or telecommunications networks, governmental actions, import or export restrictions, or customs delays. In such cases, our obligations are suspended for the duration of the event. If the event lasts longer than 30 days, either party may cancel the affected order, and we will refund any payment made for products not delivered.

15. Limitation of liability

We are fully liable for damages caused intentionally or by gross negligence, for injury to life, body or health, under mandatory product liability law, and under any guarantee we have expressly given. In cases of slight negligence, we are liable only for the breach of essential contractual obligations, meaning obligations whose fulfilment makes the proper performance of the contract possible and on which you may regularly rely; in that case, our liability is limited to the foreseeable damage typical for this type of contract. Any further liability is excluded to the extent permitted by law. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under the law applicable to you.

16. Relationship with Shopify

Our Store is powered by Shopify, which provides the technical platform for the Services. All sales and purchases are made directly between you and Memoried. By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of any sales between you and Memoried, including any injury, damage or loss resulting from purchased products and services. You hereby expressly release Shopify and its affiliates from all claims, damages and liabilities arising from or related to your purchases and transactions with Memoried.

17. Privacy

We process your personal data in accordance with our Privacy Policy. Because the Store is hosted by Shopify, certain personal information is also processed by Shopify in accordance with Shopify's privacy policy.

18. Changes to these Terms

We may update these Terms from time to time. The version published in the Store at the time you place an order applies to that order. We will announce changes to the terms governing the app in advance where they materially affect you.

19. Governing law and jurisdiction

These Terms and any contract concluded under them are governed by the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). If you are a consumer, this choice of law does not deprive you of the protection of mandatory consumer protection laws of the country or state in which you habitually reside.

If you are a merchant, a legal entity under public law or a special fund under public law, the exclusive place of jurisdiction is Neuss, Germany. Otherwise, the statutory places of jurisdiction apply.

20. Online dispute resolution

The European Commission provides a platform for online dispute resolution at https://ec.europa.eu/consumers/odr. We are neither obliged nor willing to participate in dispute resolution proceedings before a consumer arbitration board.

21. Severability

If any provision of these Terms is or becomes invalid, the remaining provisions remain in effect. The invalid provision shall be replaced by the statutory provision.
